MAJOR RESPONSIBILITIES INCLUDE:
Legal & Compliance
- Provide support to LCPA team on corporate transactions and filings, litigation support, regulatory, licensing, and other areas as assigned.
- Liaise with Global In-house Center Legal team for standard business contracts (e.g. Client Service Agreements, NDAs, etc.).
- Work closely with LCPA team on compliance matters, including but not limited to compliance monitoring, audits, inspections, etc.
- Advise business colleagues on the correct forms & templates to use, and point colleagues toward relevant resources on company rules and procedures.
- Advise business colleagues on how to respond to client inquiries regarding vendor questionnaires.
- Conduct preliminary review of sanctions due diligence questionnaires, request screening to global screening team, review screening results, etc.
- Assist with compliance routines such as licensing, monitoring, research, data compilation and synthesis, reporting, and task management
- Assist with preparing local training materials, scheduling trainings.
- Assist with implementing best practice global and regional compliance programs, risk assessments, and executing against action plans.
- Assist with regular local compliance monitoring and prepare draft monitoring reports under close supervision and/or work with Global In-house Center Monitoring team.
Assist with tracking relevant new laws and regulations.
- Conduct legal research.
- Support the LCPA team on global/regional projects and initiatives.
Corporate Secretarial
- Organize and manage corporate secretarial and corporate governance matters for in-scope entities such as implementation of changes to board compositions, arranging of board and shareholder meetings, drafting of board and members’ resolutions – including drafting of notices, agenda, minutes, resolutions, organizing signatures and all other supporting/relevant documents.
- Instruct and liaise with external corporate secretarial provider as necessary, ensuring optimal use of external spend at all times.
- Update board members of relevant directors’ and corporate secretarial requirements and responsibilities.
- Manage and maintain databases (corporate information) and records of corporate documents and licenses pertaining to in-scope entities.
LCPA Operations and Administrative Support
- Manage access to technology used for Legal & Compliance purposes (Securimate, Bridger, Sharepoint, etc.).
- Organize and maintain core legal documents, databases and retention processes for the LCPA team.
- Provide administrative and logistical support to the LCPA team.
- Manage internal reporting processes (tracking and collating information, reminding deadlines).
- Manage cost tracking of legal expenses (e.g. legal retainers, external counsel/service provider invoices, etc.).
Educational/Professional/Functional Qualities:
- 1-4 years of paralegal experience preferred with a good mix of corporate secretarial work.
- Technical knowledge of corporate and commercial law, including corporate secretarial matters.
- Experience and familiarity with the local culture, business customs and legal environment in Hong Kong.
- Familiarity with the insurance broking and financial advisory business would be highly advantageous.
- Fluent in Cantonese and English.
- Excellent data management, organizational and drafting skills.
- Meticulous attention to detail and the ability to work to tight deadlines and pressure, and manage time critical issues effectively and efficiently.
- Ability to track and advise on new laws and regulations.
- Commercially focused, culturally sensitive with excellent communication skills and business acumen.
- High standard of integrity and professionalism with the ability to balance compliance with business objectives
- Proactive team player who is willing to support and contribute to the wider LCPA.
